We believe that the projects and inventions that are shared on Kubrio should be distributed and licensed in such a way that both protects the rights and privacy of the individual creator and ultimately contributes the most value to the larger community. We are deeply committed to protecting children's privacy and safety online.

Terms of Service

PLEASE READ THESE TERMS OF USE ("AGREEMENT" OR "TERMS OF USE") CAREFULLY BEFORE USING THE SERVICES OFFERED BY GALILEO XP, INC ("GALILEO XP" OR "KUBRIO"). THIS AGREEMENT SETS FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE VARIOUS WEBSITES AND APPLICATIONS OWNED AND OPERATED BY GALILEO XP, INC, INCLUDING, WITHOUT LIMITATION, THE KUBRIO.COM WEBSITE AND DOMAIN NAME ("SITES"), AND ANY OTHER FEATURES, CONTENT, OR APPLICATIONS OFFERED FROM TIME TO TIME BY KUBRIO IN CONNECTION THEREWITH, INCLUDING ANY MOBILE APPLICATIONS OFFERED BY KUBRIO (COLLECTIVELY, THE "SERVICE"). BY USING THE SITES OR SERVICE IN ANY MANNER, INCLUDING BUT NOT LIMITED TO VISITING OR BROWSING THE SITES, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU ARE A PARENT OR GUARDIAN AND YOU PROVIDE YOUR CONSENT TO YOUR CHILD'S REGISTRATION WITH THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF USE IN RESPECT OF THEIR USE OF THE SITE. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, THEN YOU REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO BIND SUCH ENTITY TO THE TERMS OF THIS AGREEMENT. THIS AGREEMENT APPLIES TO ALL USERS OF THE SITES OR SERVICE, INCLUDING USERS WHO ARE ALSO CONTRIBUTORS OF CONTENT, INFORMATION, AND OTHER MATERIALS OR SERVICES ON THE SITES.

ACCEPTANCE OF TERMS

By creating a Kubrio account, you're agreeing to these terms as well as any additional terms of use by our partners.

The Service is offered subject to acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies and procedures that may be published from time to time on the Sites by Kubrio. In addition, some services offered through the Service may be subject to additional terms and conditions promulgated by Kubrio from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference. You represent and warrant that if you are an individual, you are of legal age to agree to these terms and conditions or you have your parents' permission to do so, and that all registration information you submit (including any details you submit for a parent or guardian) is accurate and truthful. Kubrio may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law and the right to access the Service is revoked in such jurisdictions.

CHILDREN'S ONLINE PRIVACY PROTECTION AND AGE RESTRICTIONS

Kubrio is designed for children ages 6-13 and complies with the Children's Online Privacy Protection Act (COPPA). Protecting children's privacy and safety is our highest priority.

Parental Consent Required: Only parents or legal guardians (18 years or older) may create accounts. Children cannot create accounts independently. Parents must provide verifiable consent (via credit card verification or other COPPA-compliant methods) before any child can access the Service. By creating an account for your child, you consent to the collection, use, and disclosure of your child's information as described in these Terms and our Privacy Policy.

Information We Collect from Children: We collect only the minimum information necessary from children:

  1. Avatar and username (chosen by parent or child under parent supervision)
  2. Date of birth
  3. Content created within the platform (projects, comments, creations, learning activities)

Children cannot provide email addresses, create passwords, or change account settings independently. All account management is controlled by parents through the Parent Portal accessible on the Kubrio website.

Parental Rights: Parents have the right to:

  1. Review their child's personal information at any time through the Parent Portal
  2. Request deletion of their child's information
  3. Refuse further collection or use of their child's information
  4. Access all content created by their child
  5. Control whether their child's content can be shared publicly
  6. Opt out of having their child's content used for AI training

To exercise these rights, contact us through the Kubrio website. We will respond within a reasonable timeframe, typically within 30 days.

Data We Never Collect from Children: We do not and will never collect from children: email addresses (account emails belong to parents only), phone numbers, home addresses, social security numbers, or any government-issued identification numbers. We do not allow children to make their personal information publicly available.

MODIFICATION OF TERMS OF USE

Kubrio reserves the right, at its sole discretion, to modify or replace any of the Terms of Use, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Sites or by sending you a notification. Kubrio may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

Material Changes Affecting Children If we make material changes to how we collect, use, or disclose children's personal information, we will notify parents and obtain renewed consent where required by COPPA.

PRIVACY

Kubrio's current Sites' privacy statement is located at kubrio.com/privacy (the "Privacy Policy") and is incorporated into these Terms of Use. For inquiries in regard to the Privacy Policy, or to report a privacy-related problem, please contact Kubrio's support team through the website.

For detailed information about how we collect, use, and protect your child's information, including our COPPA compliance practices, please review our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

Key Privacy Commitments:

  1. We never sell or rent your data or your child's data to anyone
  2. We don't install trackers to monitor children's browsing behavior outside of Kubrio
  3. We collect only the minimum necessary information from children
  4. Parents control all account settings and data
  5. Children's personal information is kept confidential and secure
  6. Your child's content may be used to improve our AI learning models (with opt-out available)
  7. No third-party advertising networks collect information from children on our platform

RULES AND CONDUCT

This section lists stuff you know you shouldn't do: breaking laws, stealing data, abusing other members, etc. Just be nice - to us and to other members. Kubrio is a positive place for children to learn and grow. Let's keep it that way.

As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Terms of Use. The Service (including, without limitation, any Content, or User Submissions (both as defined below)) is provided only for your own personal, non-commercial use. You are responsible for all of your activity in connection with the Service and for supervising your child's use of the Service. For purposes of the Terms of Use, the term "Content" includes, without limitation, any advertisements, advice, suggestions, videos, audio clips, written forum comments, information, data, text, photographs, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible by Kubrio or its partners on or through the Service.

By way of example, and not as a limitation, you shall not (and shall not permit any third party, including your child, to) either (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Service, that:

  1. infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity
  2. is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, offensive, or profane
  3. constitutes unauthorized or unsolicited advertising, junk, spam or bulk communications
  4. involves commercial activities and/or sales without Kubrio's prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes
  5. contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Kubrio or any third party - impersonates any person or entity, including any employee or representative of Kubrio
  6. attempts to solicit personal information from any minor
  7. bullies, harasses, or intimidates any other user
  8. encourages any child to share personal information

Additionally, you shall not: (i) take any action that imposes or may impose (as determined by Kubrio in its sole discretion) an unreasonable or disproportionately large load on Kubrio's (or its third party providers') infrastructure; (ii) interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service; (iii) bypass any measures Kubrio may use to prevent or restrict access to the Service (or other accounts, computer systems or networks connected to the Service); or (iv) use manual or automated software, devices, or other processes to "crawl" or "spider" any page of the Sites. You shall not (directly or indirectly): (i) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except (A) for any part of the Service which is licensed under an open source or similar license or (B) to the limited extent applicable laws specifically prohibit such restriction, (ii) modify, translate, or otherwise create derivative works of any part of the Service except where license permits, or (iii) copy, rent, lease, distribute, or otherwise transfer any or all of the rights that you receive hereunder. You shall abide by all applicable local, state, national and international laws and regulations.

Kubrio reserves the right to remove any Content from the Sites or Service at any time, for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Content or if Kubrio is concerned that you may have violated the Terms of Use), or for no reason at all.

Special Provisions for Children's Safety: Parents are responsible for monitoring and supervising their children's use of Kubrio. We strongly encourage parents to discuss online safety with their children and to supervise their children's participation in online activities. Children should never share personal information, including but not limited to full names, addresses, phone numbers, school names, or any other identifying information with other users.

CONTENT MODERATION AND CHILD SAFETY

Kubrio employs multiple safety measures to protect children:

24/7 Human Moderation: Our team provides round-the-clock human moderation of all user-generated content, 365 days per year. Our moderators are trained in child safety and COPPA compliance.

Automated Filters: Comment systems employ automated filters to prevent sharing of personal information, profanity, and inappropriate content. These filters are designed to block attempts to share email addresses, phone numbers, addresses, and other personal information.

Filtered Communication: All communication features include both automated filtering and human moderation. We employ live moderation and encourage users to flag inappropriate content immediately.

Reporting System: Parents and users can report concerning content or behavior immediately through our reporting system. Our moderation team reviews all reports promptly, typically within 24 hours.

Zero Tolerance Policy: We maintain a zero-tolerance policy for:

  1. Bullying, harassment, or intimidation
  2. Inappropriate content or language
  3. Attempts to solicit personal information from children
  4. Any behavior that threatens child safety
  5. Violation of COPPA requirements

Consequences: Users who violate our safety rules may face immediate suspension or immediate suspension or permanent removal from the platform. We may also report serious violations to law enforcement or other authorities as required by law.

REGISTRATION

When signing up for Kubrio, you need to be honest about who you are. This is why we require phone verification and ID verification for parents creating accounts. You are responsible for your account and any material/activity on it, including your child's activities.

Parent Account Requirements: As a condition to using the Service, you (the parent or legal guardian) will be required to register with Kubrio and create a parent account. You will select a password for the parent account. You shall provide Kubrio with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of the Terms of Use, which may result in immediate termination of your Kubrio account.

Child Profiles: After creating a parent account, you may create up to 5 child profiles under your family account. For each child profile, you will select an avatar and username (or allow your child to choose under your supervision). Children cannot create accounts, change passwords, or modify account settings independently.

Username Requirements: You shall not (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; or (iii) use as a username a name that is otherwise offensive, vulgar or obscene. Kubrio reserves the right to refuse registration of, or cancel a username in its sole discretion.

Account Security: You are solely responsible for activity that occurs on your account and that occurs on your account and your child's profiles. You shall be responsible for maintaining the confidentiality of your Kubrio password. You shall never use another user's account without such other user's express permission. You will immediately notify Kubrio in writing of any unauthorized use of your account, or other account related security breach of which you are aware.

FEES AND PAYMENT; EARLY FAMILY ACCESS

Only those 18 and older can make purchases from Kubrio and we have the right to change those prices at any time. You're responsible for all additional charges associated with purchases (taxes, tariffs, exchange rates, etc.).

For paid Services, you must provide Kubrio with a valid payment method to pay for such Services. You acknowledge and agree that only an adult (18 years of age or older) can enter into any transaction with respect to such paid Services.

Verifiable Parental Consent: The requirement to provide payment information serves as verifiable parental consent under COPPA, confirming that an adult is creating the account and authorizing their child's participation in the Service.

Early Family Lifetime Access: Kubrio offers a one-time payment of $149 for lifetime access to the platform for early family members who join before the official launch. This includes access to all nano-courses and platform features for up to 5 child profiles per family account. Depending on where you transact with us and where your payment method was issued, your transaction with us may be subject to foreign exchange fees or differences in prices because of exchange rates. Kubrio does not support all payment methods, currencies, or locations for payment. All applicable taxes are calculated based on the billing information you provide us at the time of purchase. If the payment method you use with us, such as a credit card, fails for any reason, Kubrio may suspend your account.

From time to time, Kubrio may offer promotions or discounts on services and products available through the Site. All promotions or discounts will be subject to any additional terms specified by Kubrio. Kubrio reserves the right to change its prices and to institute new charges at any time, upon posting such new pricing on the Site, which may also be sent by notification. Use of the Service by you following such notification constitutes your acceptance of any new or increased charges

REFUNDS

14-Day Refund Policy: You have 14 days to claim a full refund of your $149 lifetime access payment. After the 14-day period, access is permanent and refunds are no longer available. No questions asked within the refund period.

To request a refund within the 14-day window, please contact us through the website.

We reserve the right to change our learning experiences or our platform structure at any time. In this case you can choose to continue with Kubrio or ask for a refund. We will apply the same 14-day refund policy for this case.

Termination for Cause: If we terminate your account due to a violation of these Terms by you (the parent account holder) and not due to any actions by your child, you may still be eligible for a pro-rated refund at our sole discretion. If your account is terminated due to violations of our child safety policies or COPPA requirements, no refund will be provided.

THIRD PARTY SITES

If you follow a link to another website or service, what happens there is between you and the organisation responsible for the website - not us.

The Service may permit you to link to other websites or resources on the Internet, and other websites or resources may contain links to the Sites. When you access third party websites, you do so at your own risk. These other websites are not under Kubrio's control, and you acknowledge that Kubrio is not responsible or liable for the content, functions, accuracy, legality, appropriateness or any other aspect of such websites or resources. The inclusion of any such link does not imply endorsement by Kubrio or any association with its operators. You further acknowledge and agree that Kubrio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such Content, goods or services available on or through any such website or resource.

Parental Supervision: We strongly encourage parents to supervise their children's internet use, including when children navigate away from Kubrio through external links.

THIRD-PARTY SERVICES AND COPPA COMPLIANCE

Any third-party services integrated into Kubrio that may collect information from children are also COPPA-compliant and have been vetted by our team. We do not allow third-party advertising networks to collect information from children under 13. We do not use tracking technologies (cookies, pixels, etc.) to track children's browsing behavior outside of Kubrio for advertising or marketing purposes.

We may use analytics tools to improve our Service, but these tools are configured to comply with COPPA and do not collect personal information from children for purposes other than supporting the internal operations of our Service.

NO EMERGENCY SERVICES

We're an education service, not an outlet for obtaining emergency services. Just making that clear.

You expressly agree and understand that the Service is not intended to support or carry emergency or time-critical calls or communications to any type of hospital, law enforcement agency, medical care unit or any other kind of emergency or time-critical service ("Emergency Services"). Kubrio, its affiliates or staff are in no way liable for such emergency calls or communications. By agreeing to these Terms of Use you understand that additional arrangements must be made to access Emergency Services. To access Emergency Services, you acknowledge and accept your responsibility to purchase, separately from the Service, traditional wireless or wireline telephone service and other means of communication intended for access to Emergency Services. You recognize and agree that Kubrio is not required to offer Emergency Services or access thereto pursuant to any applicable local and or national rules, regulation or law. You further acknowledge that Kubrio is not a replacement for your primary telephone service or any other means of communication.

KUBRIO AND SITE CONTENT

The content here is protected - you can use it for personal reasons, but you can't use it commercially without getting permission from us first.

You agree that the Service contains Content specifically provided by Kubrio or its partners and that such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. You shall abide by all copyright notices, information, and restrictions contained in any Content accessed through the Service. You shall not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from, or otherwise exploit any Content or third party submissions or other proprietary rights not owned by you, (i) without the consent of the respective owners or other valid right, and (ii) in any way that violates any third party right. You may, to the extent the Sites expressly authorize you to do so, download or copy the Content, and other items displayed on the Sites for download, for personal use only, provided that you maintain all copyright and other notices contained in such Content. Copying or storing of any Content for other than personal, noncommercial use is expressly prohibited without prior written permission from Kubrio, or from the copyright holder identified in such Content's copyright notice.

USER SUBMISSIONS - SPECIAL PROVISIONS FOR CHILDREN'S CONTENT

We are not responsible for any of the content posted on Kubrio; additionally, we don't own the stuff you or your kids post on Kubrio. When you or they post it, you're giving us permission to use it as described below. We can remove any content from Kubrio when safety and security are concerns.

The Service may provide you and your children with the ability to upload, submit, disclose, distribute or otherwise post (hereafter, "posting") data, text, photographs, graphics, visualizations, videos, audio clips, written forum comments, software, scripts, works of authorship, designs, know-how, ideas, inventions or other information or content, to the Services ("User Submissions")

For Children Under 13: When parents create accounts for children, they consent to content sharing under the following terms:

Within Kubrio Platform: Children's content is shared within the Kubrio learning community where it can be viewed by other registered users (both children and parents) and used for educational purposes within the platform. This allows children to learn from each other, collaborate, and participate in our learning community.

AI Training and Service Improvement: Content created by children may be used to train and improve our AI learning models and to enhance our educational services. This helps us provide better, more personalized educational experiences for all users. The AI learning models learn from patterns in how children learn and create, but do not store or reproduce individual children's personal information. Parents can opt out of having their child's content used for AI training by contacting us through the website. Opting out will not affect your child's ability to use the Service.

Public Sharing - Parent Controlled: By default, children's content is NOT shared publicly outside Kubrio. Parents can choose to allow their child's content (limited to avatar, username, and the project or creation itself - no other personal information) to be shared on Kubrio's social media channels or public galleries. Such public sharing:

  • Requires explicit parent approval
  • Goes through human moderator review and approval before posting
  • Can be revoked by parents at any time
  • Never includes personal information beyond username and avatar
  • Is subject to the CC-BY-SA license (see below) only when publicly shared

Parent Control and Removal: Parents can request removal of their child's content at any time through the Parent Portal or by contacting customer service through the website. We will remove such content from public view within a reasonable timeframe, typically within 5 business days. Content may remain in backup systems for up to 90 days as described in our data retention policies.

Licensing for Publicly Shared Content: For content that parents explicitly approve for public sharing outside of Kubrio:

By approving User Submissions for public sharing, you hereby agree that such publicly shared User Submissions which constitute copyrightable works of authorship are submitted under the terms of the Creative Commons Attribution-ShareAlike 3.0 Unported license ("CC-BY-SA"), and you hereby grant Kubrio a license to such Content under the terms of CC-BY-SA. Under this license, you permit anyone to copy, distribute, display and perform your publicly shared Content, royalty-free, on the condition that they credit the username each time they do so. You also permit others to distribute derivative works of your publicly shared Content, but only if they do so under the same CC-BY-SA license that governs your original Content. The full text of the CC-BY-SA license is available at: creativecommons.org/licenses/by-sa/3.0/legalcode

No CC-BY-SA for Content Within Kubrio Only: For users under 13, the CC-BY-SA license applies ONLY to content that parents explicitly approve for public sharing outside of Kubrio. Content shared only within the Kubrio platform for educational purposes is not subject to the open CC-BY-SA license and remains under your and your child's control as described in these Terms.

General Provisions for All Users: You represent and warrant that you own or otherwise control all rights to such User Submissions and that disclosure and use of such User Submissions by Kubrio (including without limitation, publishing content on or at the Sites) will not infringe or violate the rights of any third party; and acknowledge and agree that: (i) without limiting the licenses granted by you with respect to your User Submissions, Kubrio shall have the right to reformat, excerpt, or translate your User Submissions; (ii) all information publicly posted or privately transmitted through the Sites is the sole responsibility of the person from which such content originated; (iii) Kubrio will not be liable for any errors or omissions in any content; and (iv) Kubrio cannot guarantee the identity of any other users with whom you may interact in the course of using the Service. You hereby grant Kubrio a royalty-free, worldwide, transferable, sublicensable, irrevocable, perpetual license to use or incorporate into the Service any suggestions, enhancement requests, recommendations or other feedback that you provide to Kubrio relating to the operation of the Service.

Kubrio does not endorse and has no control over any User Submission beyond our moderation policies. Kubrio cannot guarantee the authenticity of any data which users may provide about themselves. You acknowledge that all Content accessed by you using the Service and all User Submissions provided by you are at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom. Kubrio has no obligation to monitor the Site, Service, Content, or User Submissions beyond the child safety measures described in these Terms. Kubrio may remove any User Submission at any time for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such User Submission, or to protect child safety), or for no reason at all. Under no circumstances will Kubrio be liable in any way for any Content or User Submissions, including, but not limited to, any errors or omissions in any Content or User Submissions, or any loss or damage of any kind incurred in connection with use of or exposure to any Content or User Submissions posted, accessed, transmitted or otherwise made available via the Service. Kubrio is not responsible for any data which is deleted (either intentionally or unintentionally) at the direction of any user.

TERMINATION AND DATA RETENTION FOR CHILDREN'S ACCOUNTS

Kubrio may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, which may result in the forfeiture and destruction of all information associated with your membership. If you wish to terminate your account, you may do so by following the instructions on the Sites or by contacting us through the website.

Child Data Deletion: If you terminate your child's profile or request deletion of their data, we will delete their personal information from our active databases within 30 days of your request. However, some information may remain in backup systems for up to 90 days for technical and security purposes. We are required to retain certain information for legal, regulatory, and safety purposes, including records related to COPPA compliance.

What Gets Deleted: Upon deletion request, we will delete:

  • Child's avatar and username from public view
  • Child's personal information
  • Child's created content (subject to the exceptions below)

What May Be Retained: We may retain:

  • Anonymized data used for AI training (with no personal identifiers)
  • Records required for legal compliance
  • Information needed to prevent fraud or abuse
  • Backup copies for up to 90 days

Parent Account Closure: If you close the parent account, all associated child profiles will also be closed and subject to the same data deletion timelines described above.

No Refunds After Termination Period: Any fees paid hereunder are non-refundable except as specified in the REFUNDS section. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

WARRANTY DISCLAIMER

We strive to provide you with the best services, but (unfortunately) we can't guarantee everything works perfectly.

Kubrio has no special relationship with or fiduciary duty to you. You acknowledge that Kubrio has no control over, and no duty to take any action regarding: which users gains access to Kubrio; what Content you access via Kubrio; what effects the Content may have on you or your child; how you may interpret or use the Content; or what actions you may take as a result of having been exposed to the Content. You release Kubrio from all liability for you having acquired or not acquired Content through the Sites. The Sites may contain, or direct you to websites containing, information that some people may find offensive or inappropriate. Kubrio makes no representation that the Content is appropriate or available for use in locations outside of the United States, and accessing the Service is prohibited from territories where such Content is illegal. DISPUTE RESOLUTION

Any disputes with us have to be handled in Delaware under Delaware state law.

A printed version of the Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. You and Kubrio agree that any cause of action arising out of or related to the Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. The Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflicts of law rules, and the United States of America.

Exception for Claims Involving Minors: Claims brought on behalf of a minor may be brought in small claims court or any court of competent jurisdiction as permitted by law, at the parent's option, and are not subject to mandatory arbitration if the parent chooses to opt out by notifying us in writing within 30 days of account creation.

Arbitration (For Non-Minor Claims or If Opt-Out Not Exercised): Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in Delaware County, Delaware, using the English language in accordance with the Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with the Arbitration Rules and Procedures of JAMS. The prevailing party in the arbitration shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys' fees, expert witness fees and all other expenses) incurred in connection therewith. Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator.

For all purposes of this Agreement, ANY DISPUTE NOT SUBJECT TO ARBITRATION AND NOT INITIATED IN SMALL CLAIMS COURT WILL BE LITIGATED BY EITHER PARTY IN A COURT OF COMPETENT JURISDICTION ONLY IN THE UNITED STATES DISTRICT COURT FOR THE DISTRICT OF DELAWARE OR, IF SUCH COURT WOULD NOT HAVE JURISDICTION OVER THE MATTER, THEN ONLY IN A DELAWARE STATE COURT SITTING IN DELAWARE. EACH PARTY SUBMITS TO THE EXCLUSIVE JURISDICTION OF THESE COURTS AND AGREES NOT TO COMMENCE ANY LEGAL ACTION UNDER OR IN CONNECTION WITH THE SUBJECT MATTER OF THESE TERMS OF USE IN ANY OTHER COURT OR FORUM. EACH PARTY WAIVES ANY OBJECTION TO THE LAYING OF THE VENUE OF ANY LEGAL ACTION BROUGHT UNDER OR IN CONNECTION WITH THE SUBJECT MATTER OF THESE TERMS OF USE IN THE FEDERAL OR STATE COURTS SITTING IN DELAWARE, AND AGREES NOT TO PLEAD OR CLAIM IN SUCH COURTS THAT ANY SUCH ACTION HAS BEEN BROUGHT IN AN INCONVENIENT FORUM. Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of the Terms of Use, including without limitation, this section.

INTEGRATION AND SEVERABILITY

The Terms of Use are the entire agreement between you and Kubrio with respect to the Service and use of the Sites, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Kubrio with respect to the Sites. If any provision of the Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms of Use will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

MISCELLANEOUS

Kubrio shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Kubrio's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation. The Terms of Use are personal to you, and are not assignable, transferable or sublicensable by you except with Kubrio's prior written consent. Kubrio may assign, transfer or delegate any of its rights and obligations hereunder without consent. No agency, partnership, joint venture, or employment relationship is created as a result of the Terms of Use and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under the Terms of Use, the prevailing party will be entitled to recover costs and attorneys' fees. All notices under the Terms of Use will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or other electronic means; or the day after it is sent, if sent for next day delivery by recognized overnight delivery service.
